Cydonii Miles

Cydonii Miles is a prominent corporate lawyer, with almost 20 years of corporate finance, governance and securities law experience. As Senior Vice President, Deputy General Counsel and Assistant Secretary of American Capital, Ltd., a publicly-traded private equity firm and global asset manager, she has served for the past 13 years as the lead in-house attorney on all corporate finance transactions, including over $30 billion in IPOs, secondary offerings, credit facilities, debt restructurings and securitizations. She also advised the boards of directors and senior management teams of several public companies and private investment funds, including the second largest mortgage REIT in the U.S. by assets, on SEC reporting, strategic planning and regulatory compliance matters and had primary responsibility for enterprise-wide corporate governance for the fund group. Miles was recently recognized by InsideCounsel as one of 100 female attorneys poised to assume the position of general counsel of a Fortune 500 company in the next three years.

Prior to working at American Capital, Miles was a member of the corporate and securities and private equity practice groups of Arnold & Porter LLP, a leading international law firm, where her practice focused on representing clients in public and private securities offerings, credit facilities, securitizations and other financings, and advising on general corporate law matters.  She also served as a judicial law clerk to the Honorable Inez Smith Reid on the District of Columbia Court of Appeals.  Miles graduated Phi Beta Kappa from the University of Maryland at College Park with a Bachelor of Science, summa cum laude, in Finance and received her Juris Doctor from Harvard Law School.

Miles is a frequent speaker at The NASDAQ Stock Market and conferences, on corporate governance and in-house legal department topics. She also serves on the boards of several local nonprofit organizations and governmental entities, including the Greater Southeast Management District, which promotes, develops and maintains commerce, transportation, housing, arts, entertainment and public safety within southeast Houston, and the Advisory Board for Miller Outdoor Theatre, which provides the largest program of free, professional-caliber performing arts and musical performances in the United States.

Miles is married to State Senator Borris Miles and is an active member of Wheeler Avenue Baptist Church and The Links, Incorporated. She is passionate about giving back to her community and raises funds annually to provide college scholarships to disadvantaged youth. She also spends a significant amount of her time and resources supporting various community-based programs that promote financial literacy, education, arts and health-related issues.
